Quorum: 14 - At least five must be from each local authority
· Matters relating to Statements of Expectation for all jointly owned Council Controlled Organisations and Council Controlled Trading Organisations
· Receipt of six monthly presentations from Port Nelson Limited, Nelson Airport Limited and Tasman Bays Heritage Trust and from the Nelson Regional Development Agency (owned solely by Nelson City Council).
· Discussion of policies, initiatives or directives stemming from central Government or external agencies, that involve cross-boundary issues
· Implementation of the Nelson Tasman Future Development Strategy
· To determine the strategic direction to be given to jointly owned CCOs and CCTOs through Statements of Expectation
· To adopt, approve, review and amend the Nelson Tasman Future Development Strategy and Implementation Plan
· In matters relating to the Nelson Tasman Future Development Strategy, to undertake community engagement, including all steps relating to Special Consultative Procedures or other formal consultation processes
· All other matters requiring decision will be recommended to Nelson City and Tasman District Council, subject to an equivalent resolution being adopted by the other Council
· The quorum at a meeting of the Joint Committee is set at 14, being a majority of members as the membership is an odd number.
· Of that quorum of 14 members, at least five must be from each local authority.
· The Standing Orders of the Council providing administration to the committee will be applied at each meeting.
· The Chairperson will alternate each meeting between the Mayor of Nelson City Council and the Mayor of Tasman District Council. In the absence of either Mayor, the committee will elect a chair as its first item of business for that meeting. No deputy chairperson will be appointed.
· The Chairperson will not have a casting vote
· These delegations/terms of reference may be varied by resolution of both Councils and any such resolution will be subject to adoption by the other Council unless it is a matter specific to one Council only
· Copies of minutes of meetings of the Joint Committee will be retained by each Council for record keeping purposes

6. Nelson Airport Ltd - Six Monthly Strategic Presentation
Quinton Hall, Chair, and Mark Thompson, Chief Executive Officer, of Nelson Airport Ltd will provide a six-monthly strategic presentation.
7. Tasman Bays Heritage Trust - Six-Monthly Strategic Presentation
Darren Mark, Trustee and Chair of Tasman Bays Heritage Trust’s Audit and Risk Committee and Lucinda Jimson, Chief Executive of the Nelson Provincial Museum, will provide a six-monthly presentation.
8. Port Nelson Ltd - Six Monthly Strategic Presentation
Paul Zealand, Chair, Hugh

Port Nelson Chief Financial Officer, Daryl Wehner, and QuayConnect General Manager, Jaron McLeod, tended an apology from Chief Executive Officer, Hugh Morrison, and spoke to their tabled presentation (1982984479-5340). Mr Wehner and Mr McLeod answered questions on the profitability of QuayConnect, key threats posed by other ports, what containers were used for bulk wine transport, the risks and costs associated with the development of an inland port, usage rates of existing cranes and availability of containers for the horticulture industry. Port Nelson Representative, Erin King, answered questions on the development of maori engagement plans and the resourcing and timelines involved. |

6. Nelson Airport Limited - six-monthly strategic presentation

Nelson Airport Chairperson, Quinton Hall, Chief Executive Officer, Mark Thompson, and Corporate Services Manager, Simon Orr, spoke to their tabled presentation (1982984479-5339) Mr Hall, Mr Thompson and Mr Orr answered questions on the infrastructure priority for the airport, if there were any strategic levers to encourage competition for flights into Nelson, potential options to alleviate car parking issues, if carbon emissions were tied to growth, the height of the current runway above sea level and the potential extension of the runway. His Worship the Mayor Smith acknowledged the waiving of landing costs for Origin Air flights during the recent closure of SH6. |

8. Infrastructure Holdings Limited (IHL) briefing

Port Nelson Chief Financial Officer, Daryl Wehner, spoke to a tabled presentation (1982984479-5337). Mr Wehner noted the focus is to keep mobility and agility, that the holding company is a Council Controlled Trading Organisation which allows access to Local Government Funding Agency funds and that in future the port and airport will report to both Councils alongside IHL. Port Nelson Representative, Mr Wehner, Group Manager – Finance, Mike Drummond and Group Manager Corporate Services, Nikki Harrison answered questions on how costs to date for airport and port had been allocated, ability for climate related financial disclosures and reporting, future reporting from port and airport, appointment of treasury advisor, ability for Councils to provide input on major capital investment, impact of change in interest rates and what synergies and savings were possible. |

His Worship the Mayor King vacated the chair and left the meeting at 3.04p.m. His Worship the Mayor Smith assumed the chair.
